Since we have a Board of Directors, I don't get to decide what is important or not....I get to vote that board out of existence, if I like. And just because it doesn't make sense to you does not negate the validity of an "issue"....(not a stock distribution, not a person's bloodline) simply a matter that is controversial. Personally, I think it is much more important to check on the financial condition of a Corporation,when it has been questioned, then to spend thousands of dollars, because you don't want anybody to see who you voted . If that is the case you could vote in person. All of this doesn't make sense to me, I feel this is exceeding the bounds of what is reasonable and a total waste of Corporate funds that the POA doesn't have. [/quote]

If the Board of Directors had followed the Constitution and just sent out Proxies, there would not have been any questions. But NO, the Leaders had another idea.
I am of the belief that we do not just follow ANY leaders blindly. There has been too much in history to contradict that.

I remember back in 2006-07 a big dust-up about the proxy voting system being not a secret ballot. Previous boards had used members votes on issues as a tool to defeat them when they ran for office. So a system was devised a few years ago to make the voting secret, knowing that the corporate proxy system of voting is inherently not a democratic system of voting. Now some of the same type of people who wanted a secret ballot appear to want to go back to our old system.
I have no problem with this, I enjoyed finding out how people stood on issues when they ran for office.

Will, you must be confusing a Corporation with the Government. There are different laws for each.
The Corporation has it own laws. They are the ones that have to be followed.
When did they stop using the proxies after John Reed? Was it when Bill Harper came in?

Does anybody know why the Board of Directors is afraid of counting the secret Ballots?
Does anybody know the real cost of the secret ballot? I am figuring around $5,000 to $10,000 dollars.
Is it sad that the Board of Directors would only do a $2000 audit of the financials of the Corporation and would spend this amount of money for an unneeded secret ballot.

I THINK,THIS SOUNDS SIMILAR TO WHAT IS HAPPENING AT THE DIPOA.
Is any POA board member or their attorney going to tell the owner why they will not let the owners see the uncounted "Secret Ballots"
Is the Board of Directors trying to hide something by not letting the owners look at the uncounted ballots?
Why is the Board's attorney telling the Board TO SEAL THE UNCOUNTED BALLOTS and not to put them into the Corporate Books for the members to inspect? Is any body going to tell the owners how much the "Secret Ballot" cost the Corporation? I feel this is another issue that the Board wants to hide.
IS THIS THE WAY A CORPORATION BECOMES MORE TRANSPARENT, BY COVERING UP THE COST OF THE “NOT IN THE CONSTITUTION SECRET BALLOTS” AND SEALING THE “UNCOUNTED SECRET BALLOTS” SO THAT THE MEMBERS WILL NOT KNOW WHAT IS REALLY GOING ON?
