Dear POA Board of Directors,
I am putting Board on notice that I feel your election process for the Board of Directors was illegal.
On the proxy the Board sent out to the property owners it states "Important!!! Do not separate this ballot from the proxy on the opposite page. Proxy and Ballots must be returned together".
By the POA Board separating the proxies and the ballots, when the proxy clearly states do not separate the proxy and ballot, I feel the POA Board destroyed a legally binding document making it null and void.
Also, by allowing Bruce Jones to remove the proxies out of the corporate office for weeks puts the Board in a compromising situation. No single Board member should have access to Corporate documents for voting for the Board of Directors for weeks that could be tampered with or alternated. Especially, since I feel Bruce Jones has been disregarding the Constitution where it states that voting is only by proxy or person. There is no word in the constitution that states secret anything. I feel Bruce has been positioning himself to control the Board of Directors, even to the extent that three years ago, I told Bruce before the annual meeting that a board member was not a property owner and the board needed to elect a new member to the Board. Bruce response to me was that he had to let him resign. As all of you know if someone is not legally a board member, they cannot resign. I feel this was done so the Board could put on who ever they wanted.
Bruce said to me that someone would have to be at the POA to watch me recount the proxies so I do not bring in an eraser, I am questioning, why wasn't the Board watching Bruce to see if he had a an eraser.
Also, Jackie you told me a lie when you stated 3 times to me before the counting of the proxies, that the Board unanimously voted not to let me see the Ballots and the Proxies at the same time. The proxies are corporate documents. Now I am questioning the board members that vote not to let me see them together and what they are trying to hide.
Please show me where the POA Constitution states the Board has the right to tear apart a proxy (a legal a power of attorney) and where the Constitution states that the Board of Directors has the right to decide what corporate documents a member may see.
ARTICLE VI
General
Section 6.1 Books and Papers. The books, records and such papers as may be placed on file by the vote of the members or the Board of Directors shall at all times during reasonable business hours be subject to inspection of any member.
Section 6.2 Proxies. At all meetings of the Association each member entitled to vote may vote in person or by proxy. All proxies shall be in writing and shall be filed with the Secretary of the Association.
Now I want to see last year proxies and ballots and the "sealed ones that were not counted."
